Terms of Service

1. Acceptance of Terms

By engaging the services of SSSP Business Solutions ("Company", "we", "us", or "our"), accessing our website at ssspsolutions.in, or entering into any service agreement with us, you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and SSSP Business Solutions, a proprietorship firm registered under GST No. 07ARPPA0353C1ZB, based in New Delhi, India.

2. Services

SSSP Business Solutions provides the following services:

• IT Consultancy — infrastructure planning, cloud solutions, network & security
• Custom Software Development — CRM, ERP, web applications, mobile apps
• Graphic Designing & Branding — logos, brand identity, marketing materials
• Website Development — static and dynamic websites, e-commerce solutions
• Digital Automation — workflow automation, WhatsApp automation, AI solutions

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) agreed upon between the Company and the Client.

3. Client Responsibilities

As a Client, you agree to:

• Provide accurate, complete, and timely information required for the delivery of services
• Designate a point of contact for approvals, feedback, and communication
• Review and provide feedback on deliverables within the timelines agreed in the SOW
• Ensure you hold the rights to any third-party content, logos, or assets provided to us
• Make payments as per the agreed schedule and payment terms
• Not use our services for any unlawful, fraudulent, or harmful purpose

4. Payment Terms

Payment terms are specified in the individual Service Agreement. General terms are as follows:

• A 50% advance payment is typically required before work commences
• The remaining balance is due upon completion and delivery of the project, or as per milestone-based schedules agreed in writing
• All payments are to be made in Indian Rupees (INR) unless otherwise agreed
• Invoices are subject to applicable GST as per Indian tax laws
• Delayed payments may attract interest at 1.5% per month on the outstanding amount
• We reserve the right to pause or discontinue services in the event of non-payment

5. Intellectual Property

Client Content: All content, data, logos, trademarks, and materials provided by the Client remain the intellectual property of the Client.

Deliverables: Upon receipt of full payment, the Company transfers ownership of the final project deliverables to the Client, unless otherwise specified in writing.

Company IP: Any proprietary tools, frameworks, code libraries, methodologies, or processes developed and used by SSSP Business Solutions remain the intellectual property of the Company. The Client receives a license to use the deliverables but not the underlying proprietary components.

Portfolio Rights: Unless the Client expressly requests otherwise in writing, SSSP Business Solutions reserves the right to display completed work in its portfolio and marketing materials.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service agreement.

We will not share your business information, technical details, or project specifics with any third party without your prior written consent, except as required by law.

7. Project Timelines & Delays

Estimated timelines are provided in good faith and are dependent on timely receipt of Client inputs, approvals, and feedback. SSSP Business Solutions shall not be held liable for delays caused by:

• Late or incomplete information provided by the Client
• Scope changes requested after project commencement
• Third-party dependencies (hosting providers, APIs, payment gateways, etc.)
• Force majeure events including natural disasters, strikes, or government actions

8. Revisions & Change Requests

The number of revisions included in a project is specified in the Service Agreement. Revisions beyond the agreed limit, or changes to the original project scope, will be quoted and billed separately at our standard rates.

9. Limitation of Liability

To the maximum extent permitted under applicable law, SSSP Business Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our services, including but not limited to loss of profits, loss of data, or business interruption.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to SSSP Business Solutions in the three (3) months preceding the claim.

10. Warranties & Disclaimer

We warrant that our services will be performed with reasonable skill and care. We do not warrant that software or websites developed will be entirely free of errors or that they will meet every specific requirement not documented in the SOW.

All services are provided "as is" with respect to third-party platforms, APIs, or integrations that are outside our control.

11. Termination

Either party may terminate the service agreement by providing 14 days' written notice. Upon termination:

• The Client shall pay for all work completed up to the date of termination
• The Company shall deliver all completed work and associated assets to the Client
• Advance payments for work not yet commenced may be refunded as per our Refund Policy

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under these Terms shall first be attempted to be resolved through mutual negotiation.

If no resolution is reached, disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

13. Amendments

SSSP Business Solutions reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to ssspsolutions.in/terms.html. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
